These SHIDA Business Terms of Use (“Business Terms”) govern the use of SHIDA professional functionality by a company, organization, institution, association or other entity (“Organization”).
SHIDA is developed and operated by NIHILOBA.
By creating or using an Organization on SHIDA, the person acting on its behalf confirms that they have reviewed these Business Terms and accept them where duly authorized to do so.
1. SHIDA Business
SHIDA Business enables Organizations to use modular professional functionality that may include recruitment, commerce, restaurants, hospitality, inventory, analytics, payments, school management and other SHIDA functionality.
An Organization activates only the modules and functionality available to it and needed for its operations.
Creating an Organization does not automatically provide access to every SHIDA module.
2. User and Organization
The Organization is distinct from the personal identity of the users who manage it.
A SHIDA user may belong to multiple Organizations.
Activities performed in a user's Personal SHIDA space remain separate from activities performed on behalf of an Organization.
3. Representation of the Organization
Any person acting on behalf of an Organization must be authorized to do so.
The Organization may designate an authorized representative to act on its behalf within SHIDA.
The authorized representative may be replaced using SHIDA's applicable governance and authorization mechanisms.
Authorized-representative status is separate from roles such as owner, administrator, recruiter or other internal roles.
Changing the representative does not automatically transfer Organization ownership, other roles or legal rights outside SHIDA.
4. Members and Permissions
Depending on available functionality, an Organization may authorize multiple users to act on its behalf.
The Organization is responsible for appropriately managing members, roles and permissions.
It must remove or modify access for persons who are no longer authorized to act for it.
SHIDA may revalidate authorization before sensitive actions.
5. Organization Verification
SHIDA may request information or documentation to verify:
- existence of the Organization;
- certain administrative information;
- authority of a person to act on its behalf.
Verification may include professional email, registration documents or other information reasonably required.
Verification documents are not intended to be public.
SHIDA verification only indicates that certain information has been checked under the applicable process. It is not a commercial guarantee or endorsement of the Organization.
6. Organization Address and Information
The Organization is responsible for the accuracy of its information.
Internal administrative information must not automatically become public.
Addresses used for administration, verification or internal management may differ from addresses or locations intentionally published through particular marketplaces.
7. Free and Paid Modules
Certain functionality may be provided free of charge.
Other functionality may be provided through paid modules, subscriptions, usage charges, transaction fees or specific contracts.
No paid module or service should be activated without first presenting its price and applicable terms to the Organization.
The Organization is not required to activate every available module.
8. Ending a Paid Module
Where a paid module expires or is cancelled, associated functionality may be disabled.
Expiry of a module does not automatically delete all historical Organization data.
Retention remains subject to the Privacy Policy, applicable obligations and SHIDA's retention rules.
9. Content Published by the Organization
The Organization remains responsible for information and content it publishes or transmits through SHIDA.
This may include:
- job vacancies;
- products;
- services;
- prices;
- menus;
- availability;
- hotel information;
- property information;
- school information;
- documents;
- images;
- descriptions.
The Organization must ensure its content is accurate and lawful and that it holds the necessary rights to publish it.
10. Marketplaces
An Organization may choose to make certain products, services, establishments or offers visible through SHIDA marketplaces.
Only information necessary for that public presence should be exposed.
Administrative information, internal data, verification documents, private analytics and other non-public information should remain protected.
11. Recruitment
Where an Organization uses SHIDA Recruitment, it remains responsible for:
- vacancies;
- recruitment criteria;
- selection decisions;
- interviews;
- hiring decisions;
- obligations toward candidates.
SHIDA may facilitate publication, application receipt and organization, communication, statuses and recruitment workflows.
SHIDA is not the candidate's employer unless expressly stated otherwise.
12. Orders, Services and Reservations
Where an Organization sells products, provides services, operates a restaurant, hotel or other activity, it remains responsible for the offering made to customers unless expressly stated otherwise.
SHIDA may facilitate discovery, orders, reservations, communication, payment or digital management of certain interactions.
13. Payments
Where payment functionality is available, certain payment operations may be performed by third-party payment providers or financial institutions.
Specific conditions and fees for the relevant service must be presented to the Organization.
Unless expressly provided by a specific service, NIHILOBA does not act as a bank or custodian of Organization funds.
14. Statistics, Analytics and Recommendations
SHIDA may provide statistics, calculations, reports, recommendations or estimates relating to Organization activity.
These are management-support tools.
Unless expressly stated otherwise, they do not constitute accounting, tax, legal or financial advice.
The Organization remains responsible for verifying information where significant decisions depend on its accuracy.
15. Tax
SHIDA may provide tools for estimating certain tax obligations or preparing reports.
A tax estimate is not an official tax filing.
Any future transmission to a tax authority requires appropriate authorization, integration and validation.
16. Security
The Organization must appropriately manage its members, roles and access.
It must notify SHIDA if unauthorized use is suspected.
Organization users must protect their authentication mechanisms.
17. Prohibited Use
The Organization must not use SHIDA to:
- impersonate another Organization;
- knowingly publish false or misleading information;
- organize or facilitate fraud;
- offer unlawful products or services;
- misuse candidate, customer or other user information;
- bypass access controls;
- deliberately interfere with SHIDA;
- use the service in violation of applicable law.
18. Suspension and Restriction
SHIDA may restrict functionality or suspend an Organization in cases including fraud, impersonation, security risk, unlawful activity, serious abuse or material violation of these Business Terms.
Where reasonably possible, SHIDA may inform the Organization of the reason and possible remediation.
19. Data and Privacy
NIHILOBA processes personal data in accordance with the SHIDA Privacy Policy.
Certain Business functionality involves data relating to employees, candidates, customers, parents, students or other persons.
Where legally necessary, the respective responsibilities of the Organization and NIHILOBA may be addressed through additional terms or a data-processing agreement.
20. Intellectual Property
NIHILOBA retains rights relating to SHIDA.
The Organization retains rights it holds in its trademarks, documents, images and other content.
The Organization grants NIHILOBA the reasonable technical rights required to host, process and display its content for the purpose of providing SHIDA.
21. Availability and Evolution
NIHILOBA aims to provide SHIDA reliably and securely but does not guarantee uninterrupted availability.
Functionality may evolve to improve the service, respond to technical requirements or comply with applicable obligations.
22. Liability
Each party remains responsible for its actions and obligations under applicable law.
Applicable liability limitations, exclusions and caps must be finalized following legal review.
This section requires legal review before final commercial use.
23. Changes to Business Terms
NIHILOBA may update these Business Terms as SHIDA Business evolves or where legal, technical or commercial developments require changes.
Renewed acceptance may be requested where a new version introduces changes that justify it.
Previously accepted versions may be retained for historical and evidentiary purposes.
24. Governing Law and Disputes
Applicable law, competent courts and dispute-resolution mechanisms must be finalized taking into account NIHILOBA's place of establishment, the Organization's location and the nature of the service.
This section requires legal review.
25. Electronic Acceptance
These Business Terms may be accepted electronically.
SHIDA may retain:
- accepted version;
- date and time;
- accepting user;
- relevant Organization;
- language;
- channel used.
This information may be retained to document acceptance.
